Member Market Website Policies

Return Policy

Requests for the return of standard products can be made within thirty (30) days of receipt of product by contacting the Customer Service Department of the IBC Member Seller. The associated Customer Service Department will authorize and issue a Return Material Authorization (RMA). Returned merchandise must be listed on an invoice with original packaging and conform to minimum package requirements. Returned merchandise may be subject to a restocking fee.

Please note that custom, special order and close-out products are marked on the website and sold as ‘non-cancelable and non-returnable’ (NCNR), meaning the product cannot be returned, exchanged or refunded.

Terms and Conditions

The use of the “Member Market” website is governed by the policies, terms and conditions set forth by Industrial Supply Plus, Inc., d/b/a IBC. Your use of this site indicates your acceptance of the terms and conditions to access, view, and purchase products on this website. Your placement of an order indicates your acceptance of these terms and conditions. IBC reserves the right to make changes to this website and the Terms of Use at any time.

Eligibility and Business Use

This site is intended solely for use by employees and authorized representatives of IBC member distributors and member suppliers acting within the scope of their business relationship with IBC. It is not intended for consumer use. By accessing or using this site, you represent that you are at least 18 years of age and that you are authorized to act on behalf of the business entity you represent.

Limits and Use of Site Content

This site is owned and operated by Industrial Supply Plus, Inc., d/b/a IBC. Unless otherwise specified, all materials appearing on this site, including the text, site design, logos, graphics, icons, and images are the sole property of IBC. All audio and video clips are the sole property of IBC or their respective content providers. You may use the content of this site only for the purpose of shopping on this site or placing an order on this site. No materials from this site may be copied, reproduced, modified, republished, uploaded, posted, transmitted, or distributed in any form or by any means without prior written permission from IBC.

Your Account

You have been invited to access and purchase products via the “Member Market” website. Should you create an account for access to or use of the site, you are responsible for maintaining the confidentiality of your account, including your username and password, and also for restricting access to such information, your account and your devices. You agree to accept responsibility for all activities that occur under your account or password. Additionally, you agree to notify IBC immediately of any unauthorized access or use of your account or password, or any other breach of security. Should we determine that your account information has been compromised, we reserve the right to invalidate, delete or otherwise modify your account to protect your account, our site, and other users. Should this need arise, we may take action without notifying you.

Limitation of Liability as to Products Sold

All products on the “Member Market” website is guaranteed against defects for 30 days from the date of delivery. Except as expressly stated herein, IBC makes no representations or warranties, either express or implied, of any kind with respect to products sold on the site. In no event shall IBC, its managers, partners, employees or other representatives be liable for special, indirect, consequential, or punitive damages related to product sold or purchased.

Indemnification

You agree to indemnify, defend, and hold harmless IBC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the site, your violation of these terms, or your violation of any rights of a third party.

Website Content and Product Pricing

All information on the “Member Market” website is subject to change at any time and without prior notice. Information about product size, weight is provided by the supplier and are provided for your review and convenience. IBC makes no guarantees on the completeness and accuracy of manufacturer or supplier information. In the event a product is listed at an incorrect price or with incorrect information due to typographical error or error in pricing or product information received from our suppliers, IBC shall have the right to refuse or cancel any orders placed for product listed at the incorrect price or with the incorrect information. IBC shall have the right to refuse or cancel any such orders whether the order has been confirmed and your credit card charged. If your credit card has already been charged for the purchase and your order is canceled, IBC Member Seller shall immediately issue a credit to your credit card or account in the amount of the charge.

Order Acceptance Policy

The “Member Market” website will submit an electronic order confirmation for each order. The order confirmation does not signify acceptance of the order, nor does it constitute confirmation of a sale. IBC and IBC Member Sellers reserve the right to accept or decline orders based on product availability, product price and functional capabilities. All orders placed over $5,000 (USD) may require pre-approval with an acceptable method of payment prior to shipment.

Sales Tax

Products sold through the “Member Market” website is subject to sales taxes based on specific state laws and local tax policies. Each customer is solely responsible for all sales and use taxes, or other applicable taxes and fees on the order.

Transactional Messages

By placing an order on the “Member Market” website, you agree to receive email messages that facilitate the fulfillment or update of your purchase. You will not be subject to other promotional emails or communications from the “Member Market” website.

Delivery, Title Passage, and Insurance

Delivery or shipping dates are approximate only and represent the IBC Member Seller’s best estimate of the time required to properly pack and schedule shipment.

Title Passage for Sales

All orders are packed according to standard commercial shipping packages. In all such cases title and risk of loss or damage will pass to Buyer upon IBC Member Seller’s delivery of the Products to the carrier for shipment. Also, no loss or damage will relieve Buyer of any obligation of payment, including payment for lost or damaged Products. Buyer may include insurance with the carrier to cover risk of damage and loss. Charges for shipping may not reflect net transportation costs paid by the IBC Member Seller if buyer refuses delivery from the ship carrier. Buyer shall reimburse the IBC Member Seller for any and all costs of storage incurred by the IBC Member Seller after the date that the IBC Member Seller makes shipment.

Payment Terms

The IBC Member Seller shall invoice Buyer at time of order shipment. Payment terms may be based on the IBC Member Seller’s advanced payment, credit card payment or by open account credit with the IBC Member Seller. All payments shall be in U.S. dollars. Any invoiced amount which is not paid when due may be subject to interest at the rate defined by the IBC Member Seller and permitted by law.

Security Interest

Buyer hereby grants to the IBC Member Seller a security interest in all Products and all proceeds and products thereof until all amounts due or to become due hereunder have been paid. Any repossession and removal of Products shall be without prejudice to any of the IBC Member Seller’s other remedies at law or in equity. Buyer agrees, at any time and without further consideration, to do or cause to be done, executed, and delivered, all such further acts and instruments (including without limitation financing statements appropriate for filing) as the IBC Member Seller may reasonably request in order to perfect the IBC Member Seller’s security interest.

Governing Law and Dispute Resolution

These terms and any dispute arising out of or relating to the site or any purchase made through it shall be governed by the laws of the state in which IBC is organized, without regard to its conflict of laws principles. The parties agree that any dispute not resolved informally shall be brought exclusively in the state or federal courts located in that state, and each party consents to the personal jurisdiction of such courts.

Force Majeure

IBC and IBC Member Sellers shall not be liable for any delay or failure to perform resulting from causes beyond their reasonable control, including acts of God, natural disaster, labor dispute, governmental action, carrier delay, supplier shortage, or disruption to utilities or communications or data networks.

Severability; Entire Agreement

If any provision of these terms is held to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions shall remain in full force and effect. These terms, together with the Privacy Policy and Returns Policy referenced below, constitute the entire agreement between you and IBC regarding use of the site and supersede any prior agreements on that subject.
