IBC Member Market 4.0 Terms and Conditions

Welcome to Member Market 4.0, an online marketplace operated by Industrial Buyers Consortium ("IBC"). By accessing or using Member Market 4.0, you agree to be bound by these Terms and Conditions. If you do not agree to these Terms, you should not access or use the website.

IBC reserves the right to modify these Terms and Conditions at any time. Any changes will become effective upon posting to the website. Continued use of Member Market 4.0 following any updates constitutes acceptance of the revised Terms.

1. Website Use

Member Market 4.0 is intended for authorized IBC members and other approved users. You agree to use the website only for lawful business purposes and in accordance with these Terms.

You may not copy, reproduce, distribute, modify, transmit, publish, or otherwise use any content from this website without the prior written consent of IBC, except as necessary to browse the site or place orders through the marketplace.

All website content, including text, graphics, logos, images, software, and other materials, is the property of IBC or its licensors and is protected by applicable intellectual property laws.

2. User Accounts

If you create an account, you are responsible for maintaining the confidentiality of your username and password and for restricting access to your account.

You are responsible for all activities that occur under your account. You agree to notify IBC immediately of any unauthorized use of your account or any security breach.

IBC reserves the right to suspend, modify, or terminate any account that is believed to have been compromised or used in violation of these Terms.

3. Marketplace Participation

Member Market 4.0 serves as a marketplace connecting buyers with participating sellers.

Unless otherwise specifically identified, products offered through the marketplace are sold by independent participating sellers and not by IBC. Participating sellers are responsible for product availability, pricing, product descriptions, warranties, order fulfillment, shipping, and customer service relating to their products.

IBC provides the marketplace platform but is not the manufacturer, distributor, or seller of products listed by participating sellers.

4. Product Information and Pricing

Product descriptions, specifications, dimensions, weights, and other information are provided by participating sellers or manufacturers.

While IBC and participating sellers strive for accuracy, neither guarantees that product descriptions or other content are complete, accurate, reliable, current, or error-free.

Prices and product availability are subject to change without notice.

If a product is listed with incorrect pricing or information due to typographical, technical, or supplier errors, the participating seller reserves the right to cancel or refuse any order placed for that product. If payment has already been processed, an appropriate refund will be issued.

5. Order Acceptance

Submission of an order does not constitute acceptance of that order.

An order confirmation acknowledges receipt of your order but does not guarantee product availability or acceptance.

Participating sellers reserve the right to accept, reject, cancel, or limit any order for reasons including, but not limited to:

• Product availability
• Pricing errors
• Suspected fraud
• Payment authorization issues
• Shipping limitations

Orders exceeding $5,000 USD may require additional payment verification prior to shipment.

6. Payment

Unless otherwise agreed, payment is due according to the terms established by the participating seller.

Accepted payment methods may include credit card, ACH, approved credit accounts, or other methods designated by the participating seller.

All transactions are conducted in U.S. dollars.

Late payments may be subject to interest or fees as permitted by applicable law and the seller's payment terms.

7. Sales Tax

Applicable federal, state, and local taxes will be assessed as required by law.

Buyers are responsible for any applicable taxes, duties, fees, or other governmental assessments associated with their purchases.

8. Shipping, Delivery, and Risk of Loss

Estimated shipping and delivery dates are provided for convenience only and are not guaranteed.

Unless otherwise stated, title to and risk of loss for purchased products pass to the buyer when the participating seller delivers the products to the shipping carrier.

Buyers are responsible for filing claims with carriers for shipping damage or loss unless otherwise agreed.

Additional shipping, storage, or redelivery charges resulting from refused deliveries may be the responsibility of the buyer.

9. Returns and Product Warranties

Returns are subject to the applicable Returns Policy and any seller-specific return requirements.

Unless otherwise stated by the participating seller, products are warranted against defects for thirty (30) days from the date of delivery.

Except for any warranties expressly provided by the participating seller, products are provided "as is" and without additional warranties of any kind, express or implied, including warranties of merchantability or fitness for a particular purpose.

10. Electronic Communications

By creating an account or placing an order, you consent to receive transactional communications regarding your account, orders, shipping updates, invoices, and other service-related notices.

Receiving these communications does not automatically enroll you in promotional marketing communications.

11. Limitation of Liability

To the fullest extent permitted by law, IBC shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from the use of Member Market 4.0 or the purchase or use of products obtained through the marketplace.

IBC's total liability arising from any claim relating to the website shall not exceed the amount paid by the buyer for the specific transaction giving rise to the claim.

12. Disclaimer

Member Market 4.0 and all website content are provided on an "as is" and "as available" basis.

IBC makes no representations or warranties regarding uninterrupted access, accuracy, availability, or error-free operation of the website.

13. Privacy

Your use of Member Market 4.0 is also governed by the IBC Privacy Policy, which is incorporated into these Terms by reference.

14. Governing Law

These Terms and Conditions shall be governed by and interpreted in accordance with the laws of the State of Illinois, without regard to its conflict of law principles.

15. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
